Terms of sale for business customers

The terms that apply when a business, school, university or public body buys from us.

These terms apply when you buy from us in the course of a business, or for a school, university, charity or public body. They apply to orders placed online, by purchase order and by accepting a quotation. If you are buying as a consumer, our website terms and conditions apply instead and your statutory rights are not affected.

1. Who we are

“We” means Input IT Ltd trading as Aqua Filter Socks, registered in England and Wales, company number 04812979. Our registered office, VAT number and contact details are on the supplier information page. “You” means the organisation placing the order.

2. Quotations and orders

A quotation is an invitation to order at the price shown. It holds until the date printed on it. A contract is made when we confirm your order in writing, or when we dispatch the goods if that comes first. These terms apply to the contract in place of any terms printed on or sent with your purchase order, unless we have agreed otherwise in writing and signed it.

3. Prices

Prices are in pounds sterling and exclude VAT and delivery unless the quotation or the page says otherwise. VAT is added at the rate in force on the invoice date. If we make an obvious pricing mistake we will tell you, and you may confirm the order at the correct price or cancel it.

4. Payment

Payment is due with the order unless we have agreed account terms with you. On account terms, each invoice is due 30 days from its date, or the number of days we confirmed when we opened the account. Pay in full, without set-off or deduction. We may withdraw account terms, or ask for payment before dispatch, if invoices are overdue. We may charge interest and compensation on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery

We deliver to the address on the order. Delivery dates are given in good faith but are estimates, and time is not of the essence. We may deliver in instalments and invoice each one. Check the goods when they arrive. Tell us within 3 working days about shortages or damage in transit, and keep the packaging.

6. Risk and ownership

Risk passes to you on delivery. The goods remain our property until we have been paid in full for them.

7. Made-to-order goods

Bags made to your specification are made for you alone. Once we have confirmed the order you cannot cancel or return them, unless they are faulty or not what we confirmed. Check the specification on the quotation before you order: material, micron rating, dimensions, fitting and quantity. We make to that specification. Dimensions carry normal sewing tolerances.

8. Returns of stock goods

You may return unused stock goods in their original packaging within 30 days of delivery. Tell us first. You pay the return carriage, and we refund the goods once they are back with us in resaleable condition.

9. Faulty goods

We warrant that the goods will match their description and be free from defects in materials and workmanship when delivered. Tell us about a defect within 14 days of finding it, and within 6 months of delivery, with the batch details and a photograph. We will replace the goods or refund their price, as we choose. That is your only remedy for defective goods.

10. Suitability

Filter media behaves differently with different liquids, temperatures, pressures and flow rates. Guidance we give on materials and micron ratings is general. You are responsible for deciding whether the goods suit your process, and for testing them in it before you rely on them. Micron ratings are nominal unless the quotation says absolute. The goods are not certified for food contact, drinking water, medical or pharmaceutical use unless the quotation says so and we have sent you the supporting documents.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Apart from that, we are not liable for loss of profit, loss of production, loss of product, loss of contracts or any indirect loss, and our total liability in connection with an order is limited to the price paid for that order.

12. Events outside our control

We are not liable for delay or failure caused by events outside our reasonable control, including carrier and customs delays. If the delay lasts more than 60 days either of us may cancel the affected order, and we will refund anything paid for goods not delivered.

13. General

We use your details to supply you and to run your account, as set out in our privacy policy. You may not transfer the contract without our written consent. If a court finds part of these terms unenforceable, the rest stays in force. These terms and every contract under them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
